Terms of Service
Thank you for choosing Minli Collaboration (hereinafter referred to as "the Software" or "Service"). This Agreement is entered into by and between you (hereinafter "User" or "you") and Wu'an Minli E-commerce Co., Ltd. (hereinafter "we", "us", or "the Company") and applies to all your actions in accessing, applying for beta access, and using Minli Collaboration.
Important Notice: Please carefully read and fully understand all terms of this Agreement, especially those regarding disclaimer of warranties, limitation of liability, governing law, and dispute resolution. By clicking "Apply for Beta Access" or using any service of Minli Collaboration, you are deemed to have read and agreed to be bound by all terms of this Agreement. If you do not agree to this Agreement, please do not apply for or use this product.
1. Scope of Agreement and Product Status Description
1.1 This Agreement is a legal agreement between you and Wu'an Minli E-commerce Co., Ltd. regarding the use of Minli Collaboration software (including but not limited to web, Windows client, and mobile versions, collectively "the Software") and related services.
1.2 Current Product Status: Minli Collaboration is currently in the Beta testing phase. The beta version may contain unstable features, interface adjustments, or performance defects. You understand and agree that the beta version does not represent the quality of the final product. The Company reserves the right to modify, suspend, or terminate the beta service at any time, with or without notice.
1.3 After the official version is released, this Agreement will continue to apply. If major functional changes occur, we may inform you through supplementary agreements or pop-up notifications.
2. Account Registration and Beta Access
2.1 When applying for beta access, you must provide true, accurate, and complete personal information (including name, email address, etc.). You promise not to impersonate others or use false information; otherwise, the Company has the right to refuse or cancel your beta access.
2.2 Beta access is for the applicant's personal use only and may not be transferred, sold, or rented. You bear legal responsibility for all actions under your account.
2.3 We reserve the right to select beta users based on product testing schedules and to revoke beta access due to violation of this Agreement or malicious behavior, without compensation.
3. Software License and Usage Rules
3.1 Subject to compliance with this Agreement, the Company grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to use Minli Collaboration software within mainland China. The Software is for legitimate and lawful business collaboration or team communication only and is strictly prohibited for any illegal activities.
3.2 You shall not, and shall not permit any third party to:
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software;
- Modify, copy, distribute, sell, or lease the Software;
- Use the Software to disseminate any illegal information, content infringing on others' intellectual property rights, malicious code, or conduct network attacks;
- Use any automated scripts or crawlers to scrape platform data or interfere with the normal operation of the Service;
- Upload files containing viruses, trojans, worms, or other malicious programs.
3.3 You are solely responsible for the legality of all content you store, share, or transmit through Minli Collaboration. If any content you provide leads to disputes or legal liability, you shall bear all such liability independently, and the Company has the right to cooperate with judicial authorities to provide necessary information.
4. Payment and Subscription (for Official Version)
4.1 The current beta phase is completely free. The future official version may include a basic free tier and paid value-added services (such as larger storage space, advanced management features). If a paid plan is introduced, we will announce pricing and subscription rules in advance and will only charge fees after obtaining your explicit consent.
4.2 Refund policies for any paid services are subject to the terms disclosed at the time of purchase. Virtual goods (such as storage upgrades) once used are not eligible for refunds without reason.
5. Data Ownership and Privacy
5.1 The intellectual property rights in the documents, chat records, and other content you upload, create, and store in Minli Collaboration belong to you or the original rights holders. The Company will not access, use, or disclose your content to third parties without your permission, except as required by law or as necessary to provide technical services.
5.2 We take your privacy very seriously. For a detailed description of the collection, use, and protection of personal information, please refer to the Privacy Policy, which is an integral part of this Agreement.
5.3 You understand that to provide cross-device synchronization, your data will be stored on servers of our selected cloud service providers. We use industry-standard encryption for protection; however, in the event of data breaches caused by force majeure or hacker attacks, the Company shall not bear full liability to the extent it has fulfilled its security obligations.
6. Service Interruption, Change, and Termination
6.1 We may suspend some or all services due to system maintenance, upgrades, server migration, or force majeure events (such as natural disasters, changes in laws and regulations). We will make reasonable efforts to notify you in advance via the website or email, but in emergencies, prior notice may not be possible.
6.2 The Company reserves the right to modify, optimize, or delete software functions at any time, provided that it does not substantially harm your already-acquired paid rights. For beta versions, we may discontinue service or reset data without notice.
6.3 If you violate any term of this Agreement, the Company has the right to immediately suspend or terminate your account and access rights without refunding any fees paid (if any). After termination, unless required by law, we may delete all data under your account without recovery.
7. Disclaimer of Warranties and Limitation of Liability
7.1 The Software is provided "AS IS". The Company makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, stability, or non-infringement. The beta version may contain bugs; you agree to assume the risk of use.
7.2 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect damages (including loss of profits, data loss, business interruption, etc.) arising from:
- Use or inability to use the Software;
- Any unauthorized third-party access to your account or data;
- Any claim arising from your content.
7.3 The Company's total cumulative liability to you (if any) shall not exceed the total fees you paid to the Company for the Software in the six months prior to the event giving rise to liability (zero during the beta phase, thus beta users waive any right to claims). This limitation does not apply to personal injury caused by the Company's intentional misconduct or gross negligence, or as otherwise required by law.
8. Intellectual Property
8.1 The name, trademark, logo, interface design, source code, algorithms, and other intellectual property of Minli Collaboration software are owned by Wu'an Minli E-commerce Co., Ltd. Without the Company's written authorization, you may not use the "Minli Collaboration" trademark or any similar identifier for commercial promotion.
8.2 Any suggestions, feedback, or bug reports you submit during use, once provided, are deemed to grant the Company a worldwide, perpetual, royalty-free license to use such feedback to improve the product; however, the Company will not associate your personal information with public acknowledgments.
9. Governing Law and Dispute Resolution
9.1 The formation, execution, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China, excluding its conflict of laws principles.
9.2 Any dispute arising out of or in connection with this Agreement or the Service shall be resolved through friendly negotiations; if negotiations fail, either party has the right to bring a lawsuit before the Wu'an City People's Court, Hebei Province. You consent to the jurisdiction of such court.
10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties regarding the use of the Service, superseding all prior oral or written communications. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.2 We may notify you of changes to this Agreement via website announcements, email, or other channels. If you continue to use the Service after the changes become effective, you are deemed to accept the modified Agreement. For material changes, we will provide more prominent notice (such as pop-ups).
